Jin has a particular focus on cross-border M&As and project investment, with vast experience in representing Chinese investors for their cross-border investment and representing Chinese sellers for their sale of assets to foreign investors. He also advised many multinational companies on their investments and joint ventures in China.
Jin has represented a wide range of well-known state-owned enterprises, public and private Chinese companies, M&A funds for their cross-border acquisitions and investments in numerous countries in Europe (Germany, U.K, France, Italy, Belgium, Netherlands, Switzerland, Malta, Montenegro, Austria, Czech Republic, Bulgaria, Kazakhstan and etc.), Australia, New Zealand, China Hong Kong SAR, U.S, Canada, Singapore, Malaysia, Indonesia, Philippines, Vietnam, India, Brazil, Chile, South Africa, Zambia Mozambique, Mauritius, and Madagascar, involving private M&As, public takeovers, project development (joint ventures and strategic alliance), advisory work, and general commercial arrangements (including offtake, supply and distribution arrangements, and consortium arrangements).
Drawing on his extensive experience of cross-border transaction management, managing English-Chinese documentation and assisting clients on bilingual negotiations in complex legal and commercial context, Jin acts as lead counsel and successfully assisted clients in complex large transactions across countries and sectors. Representative transactions include: represented State Power Investment Corporation in acquisition of Pacific Hydro from IFM for over A$3 billion through auction process (with renewable energy assets in Australia, Chile and Brazil; awarded the “Cross-border M&A Deal of Year 2016” by 《Latin Finance》); represented China Valin Group in share subscription with Fortescue Metals Group Ltd (FMG) and share acquisitions from an American hedge fund (Harbinger) for over A$ 1.2 billion, and entering into strategic business corporation agreement with FMG; represented CITIC Acquisition Funds in co-investing with Jianguang Assets on the acquisition of Samber from NXP Semiconductor (The Netherlands, Hong Kong, Cayman Islands, China – US$1.8 billion); represented Nantong Fujitsu in acquisition of Chinese and Malaysian semi-conductor assets from AMD (China, Malaysia – close to US$370 million); represented ORG Technology Co., Ltd. in acquisition of equity interests in four Chinese metal packaging companies from Ball Corporation (NYSE:BLL) for (up to) USD204 million.
Jin was nominated as one of "Client Choice – Top 20 Lawyers in China" by ALB (Asian Legal Business) in 2012, "Energy & Resources – Leading Individuals (Chambers Asia-Pacific 2013-2017)", "Leading Individuals and highly recommended lawyer– M&As (Legal 500 Asia Pacific, 2014 to 2017)", and “Leading Individuals- Project & Energy (Chambers, 2015-2017)”. In 2016 and 2017, Jin was recognised as global “Star Lawyer” by Acritas. In 2018, Jin was nominated as one of the China’s Elite 100 Lawyers on China Business Law Journal. In 2019, Jin was recognised as China Top 15 M&A Lawyers by ALB for his sophisticated all around deal-making skills: “Jin assumed the leadership role in the project management of the entire transaction … in particular, serving as the buyer's lead advisor of the transaction, leading transaction structuring and negotiation strategy, project coordination management, and negotiation and revision of transaction documents, which fully demonstrated his sophisticated deal making skills and experience as lead counsel in complex cross-border transactions, and his expertise as a top M&A lawyer on formulating best transaction solution by drawing substantial experience on Chinese and American M&A markets…”(2019 ALB China Top 15 M&A Lawyers）
Work experience
Jin joined King & Wood Mallesons in 2011. Prior to joining King & Wood Mallesons, Jin worked for well-known Australian law firms in their Melbourne offices and Beijing offices for many years.
Jin obtained his J.D. from the University of Melbourne, Australia and his LL.B. from Renmin University of China.
Jin is a native Chinese speaker and proficient in English.
