Ms. Zhao Xiaohong has extensive experience in capital market transactions and in mergers and acquisitions. Her expertise covers initial public offerings, as well as mergers and acquisitions, private placements of debt and equity securities. Ms. Zhao also counsels clients on regulatory and compliance issues involving multinational and major regional corporates.

She represented a wide array of mainland PRC companies on public offerings on both domestic and international stock exchanges including the Hong Kong Stock Exchange, the Singapore Stock Exchange, the Frankfurt Stock Exchange, the New York Stock Exchange, the Nasdaq, and the London Stock Exchange.

She is highly knowledgeable in advising restructuring and equity transactions in China and is a veteran counselor to multinational companies, investment banks, state-owned enterprises, and venture capital funds, on merger and acquisition, reorganization or other investing activities. Her client portfolio covers a diverse sector range from retail, pharmaceutical, hospitality, agriculture, industrial products manufacturing, real estate development, logistics, e-commerce, information technology, to automobiles and others more.

A specialist in regulatory compliance and corporate legal matters, Ms. Zhao has regularly assisted and acted for multinationals, state-owned enterprises and listed companies in connection with day-to-day compliance issues, formulating and implementing compliance and internal control programs and policies, and investigations on business practices.

Work experience

Ms. Zhao Xiaohong joined King & Wood Mallesons in 2003 and before then, she practiced in China Global Law Office, Hong Kong-based Charltons and the Hong Kong office of the US firm Preston Gates & Ellis.

Ms. Zhao was recommended by The Asia Pacific Legal 500 in the field of capital market. In July 2009, she was appointed as the legal counsel for the People’s Government of Suzhou. Zhao is also an appointed member of the China Affairs Committee of the Hong Kong General Chamber of Commerce.

Ms. Zhao was admitted as a lawyer in the PRC in 1994.

Ms. Zhao's working languages are Chinese (Mandarin and Cantonese) and English.
