Debt and equity expertise

King & Wood Mallesons’ Hong Kong capital markets team is one of the largest in the region and the only international legal practice that can provide integrated PRC, HK and US securities law advice, advising on both debt and equity transactions.  

We are involved in the structuring and execution of all forms of debt instruments (including investment grade, high yield and asset-backed securities) issued in reliance on Regulation S and/or Rule 144A under U.S. Securities Act, derivatives and listed and unlisted structured products. We continue to see the diversification of offshore Renminbi (RMB) product types, to support cross-border transactions in RMB. With Hong Kong as the most prominent offshore RMB hub, we have a strong, well established team with outstanding experience advising on the development of the full range of RMB structured products and related regulatory issues.

We also have Qualified Domestic Institutional Investor (QDII) expertise. This places us at the forefront of developing market trends, with QDII fund managers and securities companies increasingly investing in structured notes.

US Securities practice

Integrated into our Greater China Capital Markets practice, King & Wood Mallesons’ US Securities practice provides our clients with advice in relation to Reg S only and Rule 144A (under U.S. Securities Act) offerings of high yield bond, investment grade bond involving different types of cross-border credit enhancement structure, liability management exercises such as consent solicitations and tender offers, as well as IPOs and follow-on offerings (including rights offerings) on the Hong Kong Exchanges and Clearing Limited (HKEx) and private placements and other forms of equity offerings.
